M&A deals often happen without counsel from labor, employment and benefits attorneys. The question is what was left on the table without such counsel?

  • Did you do the right planning years ago to maximize the human capital value of the deal today?
  • Did you fix the compliance issues before the buyer found these issues? If not, how much did these issues lower the price of the deal?
  • Are your ERISA covered plans in compliance and what will it take to fix them on the eve of closing?
  • Did you lock in your talent and at what price?
  • Did you set performance standards to ensure the selling owner has an incentive to perform after the deal?

You can seal the deal without addressing any of these issue and most deals – but not all – will close. But as the advisor to the buyer or seller, are you providing all the advice your client deserves? Will these issues blow up after the deal? This presentation is designed for discussion so bring your opinions and let’s hash them out.
