    In life, they say that two things are inevitable—death and taxes. Planning for both of these inevitabilities is a crucial consideration for any responsible business owner. Of paramount importance to the business owner seeking an exit is how the current tax regime will impact their transition from business owner to employee or retiree, and their family’s future. Family and business are any entrepreneur’s legacy, and setting them up for success in the future is the job of every advisor.

    In this session you will:

    • Evaluate the potential tax impact of a “failure to plan” exit
    • Evaluate current options for clients who are planning an exit, including options for deferral of capital gains from a variety of sources
    • Learn how to implement an effective tax and estate structuring plan

    Matthew chairs the Private Client and Taxation groups at Falcon Rappaport & Berkman PLLC, where he advises regarding tax structuring for generational wealth transfer, corporate transactions of all types, Section 1031 exchanges, Qualified Opportunity Zone investments, and executive compensation. He assists accountants, wealth managers, insurance advisors, investment bankers, and other attorneys with complex matters requiring the advice of a tax attorney.

    Everyone can name multiple things they hold dear, but what matters most? The process of prioritizing what truly matters has been an eye-opening experience for numerous business owners and families. When forced to rank priorities, an owner may have to decide if spending more time with family outweighs maximizing profits in the business. Or weighing the feelings of control and recognition that come with business ownership against time—time to travel, volunteer, learn something new, or pursue other personal goals.

    What does this prioritization process have to do with selling a business? Often, a well-structured sale can help an entrepreneur fulfill his top priorities. And, when the business owner recognizes how the deal will help her achieve what matters she is likelier to consummate the transaction with confidence.

    In this session you will:

    • Evaluate priorities and translate into a financial road map
    • Unlock value for various time horizons
    • Learn to make money meaningful, not just numbers


    Our Speaker: Diane Johnston, Financial Advisor - Bernstein Private Wealth Management

    Diane Johnston is a Vice President and Financial Advisor at Bernstein Private Wealth Management in the New York office. Diane’s focus is offering institutional quality wealth management to entrepreneurs, families and institutions, as well as their respective trusts, estates, foundations, endowments and pension plans. Before joining the firm in 2018, she was a director and senior investment leader at Willis Towers Watson, a global consulting firm. Prior to consulting, Diane was a director at WHV Investments, a VP at OppenheimerFunds, and a director at Fidelity Management & Research. Her 20-plus year career in capital markets also included roles in investment banking, trading and private offerings. Diane holds a BA in economics from Sewanee: The University of the South, and an Executive Certificate in business administration from the Mendoza College of Business at the University of Notre Dame. Diane is also a board member of UNITAS, an international humanitarian organization united to fight against human trafficking, and a member of The Knickerbocker Chapter of the National Society of the Daughters of the American Revolution. She is an active member of Save the Sound to support healthier and cleaner water in the Long Island Sound and metro New York Region. Diane and her family live in Port Washington, NY, and she enjoys her dogs, the water, running and her rose garden.
