The buy-sell agreement, how it can help or hurt you in litigation, divorce or shareholder disputes. More importantly, it only enhances what all transition and exit planning advisors should be communicating to their business owners. The buy-sell provisions of a partnership, LLC or shareholders' agreement, involves complex issues of corporate and business law, tax law, estate planning, accounting and insurance, as well as ethical considerations. To help you consider the “operational aspects” of buy-sell agreements, we’ve asked Martin H. Abo, CPA/ABV/CVACFF to go over his “122 Point Checklist on Shareholder Agreements” used in seminars presented by the New Jersey State Bar Association, Chester County Pennsylvania Bar Association, National Association of Valuators and Appraisers, as well as the New York City Bar Association. The checklist allows an enterprise’s advisors, attorneys and accountants alike, to assist business owner clients in addressing fundamental issues relating to the continuity of their venture and an orderly transition of ownership. It identifies key areas of substantive business, tax and estate planning for all.
