The Exit Planning Exchange Philadelphia Chapter holds events throughout the Greater Philadelphia & Bucks County area. 

Our association events promote peer learning, networking and visibility for our members in the local private company advisor community.  Topics cover all three phases of the private company life cycle: business value growth, business value transfer and owner life and legacy. These meetings are held in two locations:

  • Downtown Philadelphia on the third Wednesday of each month from 7:30 AM - 9:15 AM.  (Excludes July & August)
  • Suburban Bucks County on the fourth Wednesday of each month from 7:45 AM - 9:30 AM.

    Part I – Stakeholder Capitalism:

    Implications for Exit Planning

    The Pennsylvania Bar News recently featured an article by XPX Philadelphia Member Sean-Tamba Matthew that explained an emerging shift in the understanding of a business’ role in our economy and how this influences exit planning:

    In 2019, the Business Roundtable’s Statement on the Purpose of a Corporation shifted away from its shareholder primacy orientation for a corporation to an approach that considered the effects of a corporation’s actions on all “stakeholders.” The 2019 statement provided that “[w]hile each of our individual companies serves its own corporate purpose, we share a fundamental commitment to all of our stakeholders… Each of our stakeholders is essential.” Furthermore, the statement provided that companies must be committed to delivering value to customers, investing in employees, dealing fairly and ethically with their suppliers, supporting the communities in which they operate and generating long-term value for shareholders.

    This program kicks off a two-part discussion about shifts in business and economics, and how this affects our clients. In this Part I of the discussion, we’ll discuss stakeholder capitalism including:

    • What it is
    • What it means
    • Why this is a viable option for some of your clients
    • Ways of implementing it for lower-middle market companies

    In Part II of the discussion, we’ll discuss how these shifts have lead to the rise of intangibles as a driver of corporate value.

    Sean Tamba-Matthew
    Shareholder

    Sean Tamba-Matthew is a shareholder of Stevens & Lee and also works with its affiliated business, SES ESOP Strategies. He advises companies, business owners, boards of directors and employee stock ownership plan (ESOP) trustees on transactional, corporate governance and formation matters related to the design and implementation of ESOPs.

    Sean is also an Adjunct Professor at Temple University’s Beasley School of Law where he co-teaches a Stakeholder Capitalism course. In addition, he’s a member of the leadership council for the Business Law Section of the PA Bar Association and an advisory board member of Talley Management Group, an employee-owned company.

    NETWORKING ON THE NORTHEAST CORRIDOR

    The New Jersey and Philadelphia chapters of XPX are excited this month to join forces for our members and their invited guests. Both our chapters are growing and welcoming professional advisors who help business owners plan for a successful exit. As we continue to examine many of the different planning considerations and decisions an owner needs to face, our members are welcomed to participate in our interactive discussions. We welcome your attendance at our next meeting.

    This month we will be joining forces allowing all members and their invited guests to expand their networks along the Northeast Corridor! The session will touch upon key networking tactics and suggestions for the remainder of 2021 combined with a packed opportunity to network with other professionals. We will be using a series of breakout rooms allowing all participants to engage, share and network! This will afford the opportunity to expand your network in areas for future growth.

    This highly interactive session will allow for participation by attendees in a collaborative format. As an association of experienced advisory professionals for business owners and their companies, we are all focused on delivering the highest level of subject matter expertise to our clients and we would value your expertise and insights.     New paths to long-term, sustainable corporate value Part 2 – Intangibles as a Driver of Corporate Value


    This program continues our two-part discussion about shifts in business and economics and how they affect our clients. In this Part 2 of the discussion, we’ll have a panel discussion about the rise of intangibles:

    • The two trends that have led to the dominance of intangibles in business
    • How intangibles influence valuation of companies in the lower middle market
    • How intangibles can be harnessed to drive the growth and performance of our clients’ businesses

    Mary Adams
    Consultant & Executive Director of XPX

    Mary Adams is a consultant, speaker and currently serves as the Executive Director of XPX.

    Her current work is focused in three communities that she helped create: The Exit Planning Exchange that brings long-term thinking to the private company market. The Integrated Reporting U.S. Community that brings long-term thinking to public companies. And Smarter-Companies, a specialty consulting community that provides methodologies and tools to support intangible capitalism.

    Mary is the co-author of Intangible Capital: Putting Knowledge to Work in the 21st Century Organization. Prior to starting her consulting firm in 1999, she spent 14 years as a high-risk lender in the U.S. and Latin America.

    Shina Culberson, President of Quist Valuation, brings +20 years of financial and valuation experience to her leadership of the firm.

    Shina’s passion is working with company owners to help them understand the value drivers of their business and to provide actionable insights in order to improve performance, valuation, and management decision making. Quist launched Quist Insights™, an online platform solution, in 2018 aimed at quantifying the intangible drivers of corporate value (i.e., customer value, employee value, organizational value, etc.) to maximize transferable value at exit.

    Shina graduated with a major in Economics from Claremont McKenna College and holds the CFA designation.

    M&A In The Age of COVID-19


    Covid-19 has changed the M&A landscape in many respects, from the LOI stage to closing and beyond. Now that we are a year into the Covid-19 world, it is a good time to look back at the changes engendered by Covid-19 and to also look forward in terms of whether we expect these changes to have been temporary or whether they will have more of a long term impact. This program will focus on the key aspects of an M&A transaction, including pricing, due diligence, representations and warranties, interim covenants, closing conditions and indemnification (including representation and warranty insurance considerations), and examine the changes we have seen and what we anticipate the future will look like.
